Beth A. di Santo Managing Partner
Beth is a corporate and real estate attorney specializing in public and private securities offerings, securities law compliance and corporate governance, mergers and acquisitions, venture capital financing and real estate transactions. Beth has worked extensively with REITs and other real estate related companies as both company counsel and underwriter’s counsel. Beth also has significant experience in representing start-up companies in several industries, including alternative energy, technology, fashion and media, domestic and offshore fund formation and private equity. In addition, Beth represents several independent film producers, writers and film finance funds.

- Serves as General Counsel to CleanTech REIT, Inc., a real estate investment trust specifically focused on building a portfolio of renewable energy properties
- Represented hospitality, office and mortgage REITs in their formation and initial public offerings on the NYSE
- Represented specialty finance company in a $500 million Rule 144A private placement
- Represented international hedge fund manager in structuring and forming U.S. registered investment company and registered investment advisor
- Represented managing underwriter of an asset manager’s initial public offering on the NYSE
- Represented investment banks and venture capital firms in raising approximately $2.5 billion
- Advised several public companies listed on NYSE and NASDAQ regarding securities law reporting and compliance
- Represented several alternative and renewable energy companies in early stage recapitalizations, securing equity and debt financing, and negotiating development agreements and engineering, procurement and construction agreements.
Real Estate Matters
- Represented hotel developer in acquiring, financing and developing several hospitality and mixed use properties in both New York and Florida
- Represented real estate developer in structuring and financing a $300 million acquisition of home-building and development business
- Represented multi-national retail property owner and operator in structuring U.S. operating subsidiaries and acquisition of several retail and commercial properties
